ComWest Enterprise Announces Private Placement & Grant of Options

ComWest Enterprise Corp. (TSX VENTURE: CWP)(TSX VENTURE: CWP.A) (the “Company”) announces that the Company is proceeding with a non-brokered private placement of up to 1,000,000 units at a price of online banking software $0.20 per unit for gross proceeds of up to $200,000. Each unit will consist of one Class B common share in the capital of the Company and one share purchase warrant (a “Warrant”). Each Warrant entitles the holder to purchase one Class A restricted equity share over a two-year period, at a price of $0.20 per share. A majority of the placement may be acquired by insiders of the Company.

The net proceeds from the private placement will be used to finance the estimated $125,000 in out-of-pocket costs of the recent consolidation and for general working capital purposes.

Pursuant to the Company’s stock option plan, the Company has granted directors and officers options to purchase 200,000 Class A restricted equity shares. The options are for a five (5) year term exercisable at a price of $0.20 per share.

The private placement and the stock options are subject to TSX Venture Exchange approval.

When I was a kid going to Catholic school, three days in the autumn felt nearly as powerful to me as the three days in spring–Good Friday, Holy Saturday and Easter Sunday–that were the most important on the Christian calendar.

The other three days–Halloween, All Saint’s Day and All Souls’ Day–are also symbolic of death and resurrection. These are the days when the dead are said to walk the earth, sometimes seeking to reconnect with loved ones, sometimes seeking revenge.

The Days of the Dead have become as much a part of popular culture kruger national park safari as they are a part of the spiritual calendar. In America, only Christmas, and possibly Thanksgiving, are more universally celebrated than Halloween

Graymark Healthcare Inc. of Oklahoma City and Oklahoma Heart Hospital have established a joint venture to provide sleep medicine, particularly to patients with cardiovascular problems.

OHH/Nocturna of Edmond, a four-bed sleep facility, opened this week at 428 W. 15th St. While Graymark has five other sleep facilities in Oklahoma, this is the first that caters to a specific population. It operates through Graymark’s subsidiary, Nocturna Sleep Centers.

“Sleep disorders are the third most common reason people go see a doctor, after colds and headaches,” said Joe Harroz, president of Graymark Healthcare. “One of the biggest correlations with sleep apnea is cardiovascular issues. We wanted to combine the best of Oklahoma’s cardiologists with the best in sleep medicine.”

Under the agreement, Graymark will work for Oklahoma Heart Hospital on a per-patient basis, Harroz said. A prescription is required to perform a sleep study, and if a person tests positive for a sleep disorder, a separate prescription is required for a CPAP (continuous positive airway pressure) machine, he said.

Physicians from Oklahoma Heart Hospital will refer patients to the sleep center, and diagnoses will be sent back to the doctor, Harroz said. However, physicians from other hospitals and clinics are welcome to send patients as well, and people can contact the center directly.

“We look at it as an opportunity to be a part of the health care solution,” Harroz said. “If patients can avoid cardiovascular events, it will be much cheaper for them and the insurance companies.”

Dr. Dianne Gasbarra serves as medical director for OHH/Nocturna of Edmond, and Harroz said he anticipates the center will have 12 employees.

Dr. John Harvey, CEO/president of Oklahoma Heart Hospital, said his hospital has always used external labs for insomnia patients needing a sleep disorder diagnosis. Instead of creating its own sleep lab, Oklahoma Heart interviewed several sleep facilities and decided upon the partnership with Graymark.

Harvey estimated that Oklahoma Heart Hospital sends anywhere from 500 to 1,000 patients each year to be tested for sleep apnea or other disorders.

“We wanted to provide a service that was easy for everyone involved,” Harvey said

AMONG THE JOYFUL sounds of childhood, most of us remember the magic of a music box.

Celia Ator traced the history of such magical and memorable treasures when she recently entertained the Estudillo Chapter No. 444 of The Questers at her home in Castro Valley.

Lunch was provided by co-host Carol Fahrbach and the “Cookie Ladies” of the organization, who can be counted on to bake some delicious delights.

Celia had a chance to show off her music box collection and when they were playing simultaneously, it sounded like an orchestra tuning up.

The Estudillo Chapter continues its good work with a focus on providing funds for the ongoing restoration work on The Little Brown Church on the grounds of Casa Peralta in San Leandro, besides raising money for scholarships and other historical preservations.

Members hold monthly meetings with guest speakers, take trips to places of architectural and historical interest, or have talks about members’ various collections and the history of such objects. The Questers organization, headquartered in Philadelphia, is international in scope, with a motto of “It’s fun to search and a joy to find.”

Other members present at the first meeting of the fall season were Frances Bienati, Mari Bittick, Betty Brown, Doris Cooper, Myrna Cucchiara, Diane Dobberpuhl, Alice Doolittle, Renate Liebthal, Pat Maus, Bonnie Peterson, Dorthe Reihl and Sue Wood.

On Oct. 3, the California Retired Teachers Association, Southern Alameda County Division 59 — which includes retired educators from the Castro Valley, Hayward, San Leandro and San Lorenzo unified school districts — participated in the CalRTA Area IV Fall Workshop at the United Methodist Church of Castro Valley.

The participants were Ernie Avelar, John Gray, George Jardine, Mary Jardine, Jean Johnson, Orville rachael ray cookware Johnson, Doris Marciel, Frank Marymee, Donna McCarty and Gwenyth Page.

Area IV Director Clayton Ross welcomed the seven CalRTA divisions from Alameda and Contra Costa counties. Music by the “Angry Retired Teachers Band” preceded guest speakers Polly Bacich, CalRTA president, and David Walrath, CalRTA Legislative Advocate.

This special issue (Vol. 43 No. 4) of the Journal of Advanced Transportation focused on: “MULTIPLE CRITERIA EVALUATION AND OPTIMIZATION OF TRANSPORTATION SYSTEMS” contains the second set of 5 articles accepted for publication. The first set composed also of 5 papers was published in volume 43-2. All the accepted manuscripts present different methodological tools, decision making models and computational algorithms that are applied for multiple criteria evaluation and optimization of transportation systems. They provide high quality, original contributions to both theory and practice of transportation research. They deal with analysis, design, economics, engineering, operations, planning and technology of different transportation mode. They also prove data management software how powerful the Multiple Criteria Decision Making (Aiding)–MCDM(A) methodology is.

The pioneer research in MCDM(A) dates back to 1950-s. Hundreds of papers and conference presentations on MCDM(A) have been produced since then. Many methodological tools, decision making algorithms and computer–based systems have been designed and constructed within this field. Two major methodological streams of MCDM(A), represented by the European and American Schools have been developed. Those schools are based on Outranking Relation and Multi Attribute Utility Theory, respectively. Today MCDM(A) is a mature and still dynamically developing research field. It focuses on the design and development of advanced tools and methods that provide support to the Decision Maker in solving complex decision problems in which several, usually contradictory, points of view must be taken into account

The authors begin with a look at the historical use of fragrant herbs and spices. These products once ruled national economies just as oil does in modern times; they were integral to many cultures, being used for medicines, cultural rites, and personal care.

No one knows exactly how aromatherapy works, but current research into the sense of smell is offering clues. The authors describe the journey of the odor molecule as it enters the nose, then the olfactory bulb, where cells and neurons interpret and transmit the message to the limbic system. The hypothalamus then sends the information to other parts of the brain, where odors are distinguished, connected to higher thought functions, and related to other senses.

The highly developed and complex nature of the sense of smell makes it a fruitful area of research that is touched upon in this book. Odors invoke long-term memory, and culture plays a major role in our interpretation of them. One study found that young people thought of furniture polish when exposed to a lemon scent. Another study found that memory retention was stronger when linked to a fragrance.

The blood-brain barrier does not protect the olfactory nerves, so the olfactory pathway shows promise as a noninvasive method of accessing areas of the brain for treatment. Other research has examined the use of fragrances to ease the stress of certain medical procedures
